TERMS AND CONDITIONS
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Sorios LLC (“Sorios,” “we,” “us,” or “our”), a limited liability company registered in the State of California, with its principal place of business in Anaheim, California.
By accessing our website at sorios.com, engaging our services, or signing a service agreement with us, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, please discontinue use of our website and services immediately.
Description of Services
Sorios LLC provides managed IT and cybersecurity services to businesses, including but not limited to:
- Cybersecurity Services — Threat detection, ransomware protection, compliance management, and security monitoring
- Cloud Advancement — Cloud migration, infrastructure optimization, and ongoing cloud management
- Data Backup & Recovery — Automated backup solutions, disaster recovery planning, and data restoration
- Modern Workplace — Collaboration tools, remote/hybrid work enablement, and endpoint management
- Networking Services — Network design, implementation, monitoring, and ongoing support
The specific scope, deliverables, timelines, and fees for services will be outlined in a separate Service Agreement or Statement of Work (“SOW”) signed between Sorios and the Client. These Terms apply alongside and supplement any such agreement.
3. Use of Our Website
By accessing sorios.com, you agree to use the website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use and enjoyment of the site.
You agree not to:
- Use the website in any way that violates applicable local, national, or international laws or regulations
- Transmit unsolicited or unauthorized advertising or promotional material
- Attempt to gain unauthorized access to any part of our website, servers, or systems
- Introduce viruses, trojans, worms, or other malicious or harmful material
- Scrape, copy, or reproduce any content from this website without prior written consent
- Use automated tools to access or interact with the website without authorization
- Impersonate Sorios, its employees, or any other person or entity
We reserve the right to restrict or terminate access to the website for any user who violates these conditions.
4. Service Agreements and Contracts
All professional services provided by Sorios are subject to a formal written Service Agreement or SOW executed between both parties. Key terms governing service delivery include:
Scope of Work: Services will be delivered as defined in the applicable SOW. Any work outside the agreed scope will require a written change order and may incur additional fees.
Service Levels: Where applicable, service level agreements (SLAs) will be defined in the Service Agreement, including response times, uptime commitments, and escalation procedures.
Client Responsibilities: Clients are expected to provide timely access to systems, accurate information, designated points of contact, and cooperation reasonably required for Sorios to deliver services effectively.
Subcontractors: Sorios may engage vetted subcontractors or technology partners to assist in service delivery. All subcontractors are bound by confidentiality and security obligations consistent with these Terms.
5. Payment Terms
Fees: Service fees are outlined in the applicable Service Agreement or SOW. All fees are in US Dollars unless otherwise stated.
Invoicing: Invoices are issued monthly (or as otherwise agreed) and are due within 30 days of the invoice date.
Late Payments: Invoices not paid within 30 days may accrue interest at a rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower.
Disputed Invoices: If you dispute any portion of an invoice, you must notify us in writing within 10 business days of receipt. Undisputed amounts remain due by the original due date.
Service Suspension: Sorios reserves the right to suspend services for accounts that are more than 30 days past due, following reasonable written notice.
Taxes: Fees do not include applicable taxes. Clients are responsible for all taxes, duties, or levies arising from the services, excluding taxes on Sorios’s net income.
6. Intellectual Property
Sorios Materials: All content on sorios.com — including text, graphics, logos, images, and software — is the property of Sorios LLC or its licensors and is protected by US and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
Work Product: Unless otherwise agreed in writing, any deliverables, reports, configurations, documentation, or tools created by Sorios specifically for a Client project (“Work Product”) become the property of the Client upon full payment of all outstanding fees.
Pre-Existing IP: Sorios retains all rights to its pre-existing tools, methodologies, frameworks, templates, and proprietary software used in delivering services. A non-exclusive license to use such materials may be granted to the Client where necessary to benefit from the services.
Client Data: Any data, files, or materials provided by the Client remain the sole property of the Client. Sorios will not use Client data for any purpose other than delivering the agreed services.
7. Confidentiality
Both parties acknowledge that during the course of the service relationship, each may have access to confidential or proprietary information belonging to the other (“Confidential Information”).
Each party agrees to:
- Hold all Confidential Information in strict confidence
- Not disclose Confidential Information to any third party without prior written consent
- Use Confidential Information solely for the purposes of fulfilling obligations under the service agreement
- Apply at minimum the same degree of protection as it applies to its own confidential information
Confidential Information does not include information that is publicly available, independently developed, or required to be disclosed by law.
These confidentiality obligations survive the termination of any service agreement for a period of 3 years.
8. Data Protection and Security
Sorios takes the security of Client data seriously. As a cybersecurity company, we implement industry-leading safeguards including encryption, access controls, multi-factor authentication, and continuous monitoring.
- Sorios will process Client personal data only as necessary to deliver the agreed services
- Sorios will not sell, rent, or share Client data with unauthorized third parties
- In the event of a security incident affecting Client data, Sorios will notify the Client promptly and cooperate in any required response
- Clients are responsible for the security of their own systems, credentials, and data outside of what is expressly covered under the service agreement

9. Disclaimers and Limitation of Liability
No guarantee of absolute security: While Sorios employs best-in-class cybersecurity practices, no system or service can guarantee complete protection against all cyber threats. Sorios does not warrant that its services will prevent all security incidents.
Website disclaimer: The content on sorios.com is provided for general informational purposes only. While we strive for accuracy, we make no representations or warranties, express or implied, as to the completeness, accuracy, or reliability of any information on the site.
Limitation of liability: To the fullest extent permitted by applicable law, Sorios’s total liability to any Client for any claim arising out of or relating to these Terms or any service agreement shall not exceed the total fees paid by the Client to Sorios in the 3 months preceding the claim.
Exclusion of consequential damages: In no event shall Sorios be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.
10. Indemnification
You agree to indemnify, defend, and hold harmless Sorios LLC, its officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in connection with:
- Your use of our website or services in violation of these Terms
- Your violation of any applicable law or regulation
- Any misrepresentation or inaccuracy in information you provide to us
- Any claim by a third party arising from your use of Sorios services
11. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
These Terms, together with any executed Service Agreement or SOW, constitute the entire agreement between you and Sorios LLC with respect to your use of our website and services, and supersede all prior agreements, understandings, and communications on the same subject matter.
